Squelette Terms and Conditions

1. Introduction

Welcome to Squelette. By accessing or using Squelette ("the Platform"), you agree to comply with these Terms and Conditions ("Terms"). If you do not agree with these Terms, you should not use the Platform.

1.1 What is Squelette?

Squelette is a digital marketplace that allows developers and entrepreneurs to buy and sell code-based projects and other digital assets. The Platform primarily focuses on code, but sellers may also list related digital goods such as design files, documentation, or utilities.

Squelette does not provide hosting or storage for projects. Transactions are completed through the Platform, but the actual code or digital product may be hosted externally (e.g., GitHub, private repositories, or other storage services).

1.2 Legal Agreement

By using Squelette, you automatically accept these Terms, whether or not you create an account. If you do not agree, you should stop using the Platform immediately.

Squelette is operated by Guillaume Badi, a registered autónomo (self-employed) in Spain. These Terms govern the relationship between you (the "User") and Squelette, but do not establish any employment, partnership, or agency relationship.

1.3 Squelette’s Role

Squelette only facilitates transactions between buyers and sellers.

  • The Platform does not own, verify, or endorse the projects sold.
  • All agreements, transactions, and disputes are solely between buyers and sellers.
  • Squelette is not responsible for any losses, defects, or disputes related to purchases.

1.4 User Responsibilities

To use Squelette, you must:

  • Be at least 18 years old to create an account and make transactions.
  • Ensure that all provided information is accurate and up to date.
  • Comply with all applicable laws and regulations when using the Platform.

Sellers who list projects for sale must provide accurate legal information (such as real name and valid email) for Stripe Connect payouts. Buyers, however, are not required to provide full legal details unless otherwise requested for transaction purposes.

1.5 Geographic Availability

Squelette is available worldwide, with the exception of countries not supported by Stripe Connect. Users are responsible for ensuring they comply with their local regulations before engaging in transactions on the Platform.

1.6 Acceptance of Future Updates

These Terms may be updated over time. By continuing to use the Platform after an update, you automatically accept the new Terms. If you do not agree with any changes, you must stop using the Platform.

2. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

2.1 Squelette (The Platform)

"Squelette" refers to the online marketplace that facilitates the buying and selling of digital projects, primarily code-based products, between developers and entrepreneurs.

  • Squelette is purely a marketplace and does not provide additional tools, such as analytics, licensing management, or hosting services.
  • Squelette is only a facilitator of transactions and does not verify, endorse, or guarantee the quality, functionality, or compliance of the projects listed.
  • The Platform does not handle refunds, dispute resolution, or after-sale support, unless explicitly required by applicable laws.

2.2 User (Buyers & Sellers)

"User" refers to any individual or entity accessing or using the Squelette marketplace. This includes both registered and unregistered users:

  • Visitors may browse the platform without an account.
  • Registered Users include both Buyers and Sellers.
  • Companies and organizations are allowed to register accounts.

By using the Platform, all Users agree to abide by these Terms.

2.3 Seller (Project Owner Listing an Item)

A "Seller" is a registered user who lists a digital project for sale on Squelette.

  • To sell on the Platform, a Seller must have an activated Stripe Connect account for processing payments.
  • Sellers do not require pre-approval, but they must comply with all listing requirements and applicable laws.
  • Sellers may archive their projects at any time.
    • Archived projects are no longer available for purchase.
    • Projects sold with an exclusive license cannot be relisted.
  • Sellers may offer different licensing options, including single-use, multi-use, or exclusive licenses.

2.4 Buyer (User Purchasing a Project)

A "Buyer" is a registered user who purchases a digital project on Squelette.

  • All sales are final. Due to the nature of digital products, refunds are not provided unless legally required.
  • Buyers may not request modifications or support unless explicitly offered by the Seller as part of a licensing option or additional service.
  • Access to future updates is determined by the license associated with the project at the time of purchase.

2.5 Project (Any Digital Product Sold on Squelette)

A "Project" refers to any digital product listed for sale on Squelette, including but not limited to:

  • MVPs, boilerplates, prototypes, side projects, and other codebases.
  • Related digital assets such as design files, documentation, or scripts.

Sellers may list both functional and unfinished projects, provided they clearly communicate the status of the project in their listing.

  • Projects may contain third-party dependencies, provided they comply with open-source licenses and legal requirements.
  • Prohibited content includes:
    • Illegal, harmful, or misleading materials.
    • Copyright-infringing content (e.g., clones of existing platforms, unlicensed third-party work).
    • Projects that violate third-party terms of service.

2.6 License (Terms of Use for Purchased Projects)

A "License" defines the usage rights granted to the Buyer upon purchasing a Project.

  • By default, all projects are sold under Squelette’s Default License (Single-Use License).
  • Sellers may modify, replace, or define their own license at the time of listing a project.
  • A Seller may update the license after a sale, but cannot revoke rights already granted.
    • For example, if a project was previously sold as "exclusive", it cannot be resold later.
  • Buyers must comply with the license set by the Seller, including any restrictions on resale, redistribution, or modification.

3. Account Registration & Eligibility

3.1 Who Can Create an Account

To use Squelette, you must:

  • Be at least 18 years old. By creating an account, you confirm that you meet this age requirement.
  • Be in a country where Stripe Connect operates and where local laws allow you to buy or sell digital products.
  • Agree to these Terms and Conditions, as well as any applicable Stripe Connect terms if you are a Seller.

Users may access Squelette from any location, including through VPN services, but they do so at their own risk. Squelette is not responsible for any legal implications arising from using the platform in jurisdictions with restrictions.

3.2 Responsibilities of Account Holders

3.2.1 Account Information

Users are responsible for ensuring that all personal and payment information remains accurate and up to date.

  • Sellers must update their details via the Stripe Dashboard to comply with tax and payment regulations.
  • Sellers are solely responsible for any consequences arising from incorrect tax information, incomplete payment details, or regulatory non-compliance.

3.2.2 Account Security

Squelette uses Supabase authentication (email/password) and Discord login to manage user accounts.

  • Users are responsible for maintaining the confidentiality of their login credentials.
  • Squelette does not store plaintext passwords; authentication is handled securely.
  • If a user's account is compromised and used fraudulently, Squelette reserves the right to investigate and take necessary actions, including temporary suspension.

3.3 Handling of Multiple Accounts, Impersonation, and Misuse

3.3.1 Multiple Accounts

While one account per user/entity is encouraged, Squelette does not strictly enforce a one-account policy.

  • Users are encouraged to use their Discord accounts for registration to facilitate a more trusted environment.
  • Creating multiple accounts for fraudulent purposes (e.g., avoiding bans, manipulating ratings) is strictly prohibited.

3.3.2 Impersonation & Fake Identities

  • Impersonating another person, company, or falsely claiming ownership of a project is strictly prohibited.
  • If a user is found to be selling a project that they do not own or have the rights to, Squelette will conduct an investigation.
    • If verified as fraudulent, the user may be permanently banned.
    • The affected party may also pursue legal action outside of Squelette.

3.3.3 Misuse & Fraud Prevention

Squelette takes fraud prevention seriously and works in coordination with Stripe to detect and handle financial fraud.

  • Chargeback fraud, payment manipulation, or intentional scamming is prohibited.
    • Stripe handles automatic fraud detection and transaction security.
    • If fraudulent activity is detected, Stripe may take action, including withholding payments or banning the seller.
  • Minor violations will result in a manual warning, delivered via Discord or email.
  • Serious violations (such as proven fraud, impersonation, or selling stolen projects) may result in permanent suspension from the platform.

4. Selling on Squelette

4.1 Who Can Sell on the Platform

To list and sell projects on Squelette, a user must:

  • Have a valid email address associated with their account.
  • Have an activated Stripe Connect account for payment processing.
  • Be an individual or a registered company.
  • Not have a history of fraud or violations of Squelette's policies.

Squelette reserves the right to suspend or restrict sellers who engage in fraudulent activity or violate these Terms.

4.2 Listing Requirements

Sellers must ensure their project listings are clear, complete, and accurate. A listing must include:

  • Title of the project.
  • Description explaining its purpose and functionality.
  • Price set by the seller.
  • Optional services (if any), each including:
    • A title
    • A description
    • An extra price

Sellers may edit their listings at any time, provided that changes do not contradict the terms of previous sales.
For example, if a project was sold under an exclusive license, it cannot be relisted or modified for resale.

Prohibited Content:

  • Illegal content or any material violating intellectual property laws.
  • Misleading descriptions intended to deceive buyers.
  • Projects violating third-party terms of service (e.g., clone scripts without permission).

4.3 Pricing and Licensing

  • Sellers may set any price for their projects.
  • By default, all projects are sold under Squelette’s Default License (Single-Use License).
  • Sellers may replace or customize the license before a sale.
  • Licenses cannot be changed retroactively if it would violate previous buyers' rights (e.g., exclusivity).

Commission:
Squelette takes a 15% commission plus VAT on all sales.

4.4 Intellectual Property

  • Sellers retain full ownership of their projects unless stated otherwise in the license.
  • By selling a project, the seller grants the buyer the rights outlined in the license.
  • Buyers receive full source code access, unless specified otherwise in the listing.
  • Sellers are fully responsible for ensuring that their projects do not infringe on third-party copyrights.

4.5 Exclusive Sales

If a project is sold with an exclusive license, the seller must:

  • Immediately remove it from the marketplace.
  • Refund and deny any sales made after the exclusive purchase.

Sellers may choose to provide updates to past buyers:

  • Updates may be free or offered as a paid service (as defined by the seller).

Reselling Modified Versions:

  • By default, sellers may create a modified version of an exclusive project only if it is substantially different.
  • Slight modifications (e.g., renaming, small UI changes) do not qualify as a new project.
  • The exclusivity terms may override this rule if explicitly stated in the project's license.

Squelette reserves the right to determine if a modified version violates exclusivity and may restrict sales if needed.

5. Buying on Squelette

5.1 How Purchases Work

Purchases on Squelette are processed through Stripe and grant the buyer access to the purchased project once the seller completes the transfer.

  • Project Transfer:
    • After payment, the seller has up to 48 hours to transfer the project to the buyer.
    • Funds may be held on Stripe until the transfer is confirmed.
  • Instant Payment Processing:
    • All transactions are automated and final through Stripe.
  • Optional Services:
    • Any optional services (e.g., paid support, modifications) are included in the initial transaction.

Squelette does not guarantee the delivery speed or quality of optional services. Buyers should discuss details with sellers before purchasing via Discord or other communication channels.

5.2 Buyer Rights and Responsibilities

  • License Compliance:
    • Buyers must comply with the license attached to the project.
    • The license determines whether buyers can modify, redistribute, or resell the project.
  • Access to Updates:
    • Buyers do not automatically receive updates unless explicitly stated in the project license.
  • No Guarantees on Project Quality:
    • Squelette does not guarantee the functionality, completeness, or fitness of any project for a particular purpose.
    • Projects are sold as-is, and buyers are responsible for reviewing the listing and contacting the seller with questions before purchasing.

By purchasing on Squelette, buyers acknowledge that:

  • They are buying a digital product "as-is" with no guarantees from Squelette.
  • They accept all risks associated with purchasing a third-party project.
  • They should verify project details with the seller before purchasing to ensure it meets their needs.

5.3 Refund Policy and Dispute Resolution

5.3.1 Refund Policy

  • All sales on Squelette are final unless a refund is required by law (e.g., fraudulent transactions).
  • Sellers may choose to issue refunds voluntarily as permitted by Stripe.
  • Squelette does not process or enforce refunds unless legally obligated.

5.3.2 Dispute Resolution

  • Buyers must contact sellers directly for any issues related to project functionality, missing features, or expected quality.
  • Squelette only mediates disputes related to platform operations (e.g., non-delivery within 48 hours, major rule violations).
  • Squelette does not handle disputes regarding payment issues such as chargebacks, which are processed by Stripe.

Squelette reserves the right to:

  • Decline involvement in disputes beyond its role as a marketplace.
  • Suspend buyers or sellers engaging in fraudulent activity, abuse, or repeated disputes.

6. Payments & Fees

6.1 How Payments Are Processed

  • All transactions on Squelette are processed through Stripe.
  • When a buyer makes a purchase:
    • The payment is held for 48 hours while the seller confirms the sale.
    • Once confirmed, the seller has an additional 48 hours to transfer the project to the buyer.
    • If no dispute is raised within this time, funds are released to the seller.
  • If a project is not delivered, the buyer may report the issue, and Squelette may delay payout while reviewing the case.

6.2 Marketplace Fees and Payout Structure

  • Squelette takes a 15% commission + VAT on all sales, including optional services.
  • Sellers are responsible for paying Stripe’s transaction fees, which are deducted from their payout.
  • Payouts are processed via Stripe Connect and are subject to Stripe’s payout schedules.

6.3 Tax Responsibilities

  • Sellers are responsible for handling all taxes, including VAT, local sales tax, and income reporting.
  • Squelette does not collect VAT on behalf of sellers—each seller must ensure compliance with their local tax laws.
  • Buyers are responsible for any applicable taxes in their region.

6.4 Chargebacks & Fraud Prevention

6.4.1 Chargebacks

  • If a buyer files a chargeback through their bank, Stripe may automatically refund the buyer and charge a dispute fee.
  • If Stripe rules against the seller, the chargeback amount and dispute fee will be deducted from the seller’s future payouts.
  • Squelette does not cover chargeback losses—sellers are responsible for any disputes against them.

6.4.2 Fraud Prevention

  • If a transaction is flagged as high-risk by Stripe, Squelette reserves the right to block the sale and investigate before allowing the transfer.
  • If a seller engages in repeated chargebacks or fraudulent activity, Squelette may permanently suspend their account.

7. Licensing & Intellectual Property

7.1 Default License & Custom Licenses

  • By default, all projects are sold under Squelette’s Single-Use License, unless the seller provides a custom license.
  • Sellers may remove or replace the default license, but they must provide a valid, non-empty license for each project.
  • If a seller updates the license after a sale, the buyer retains the original license unless otherwise stated in the initial agreement.

7.2 Buyer’s Rights After Purchase

  • Buyers may modify the project and use it for commercial purposes, unless restricted by the license.
  • Buyers may not redistribute, resell, or sublicense the project unless the license explicitly allows it.
  • Buyers must comply with the terms of the license, and any violation may result in account suspension or legal action.

7.3 Intellectual Property Protection

  • Sellers retain full ownership of their projects unless stated otherwise in the license.
  • For exclusive sales, the buyer receives exclusive rights to the project, meaning the seller cannot resell or reuse it.
    • By default, the seller retains ownership of the intellectual property.
    • If a seller wants to transfer full ownership, they must explicitly state this in the license.
  • Sellers must ensure their projects do not contain third-party copyrighted material or violate any open-source license terms.

7.4 Enforcement & License Violations

  • If a buyer violates the license terms (e.g., resells a project without permission), Squelette may:
    • Investigate the violation before taking action.
    • Ban the user or restrict their ability to make further purchases.
    • Cooperate with the seller if legal enforcement is necessary.
  • Sellers should report violations to Squelette but are responsible for taking their own legal action if needed.
  • Squelette does not mediate license disputes but may restrict violators from using the platform.

    • Suspending, restricting, or permanently banning accounts.

Account actions may be taken without prior notice in cases of severe violations.

9.1 Reasons for Suspension or Termination

A user’s account may be suspended or permanently banned for any of the following reasons:

9.1.1 Immediate Permanent Ban (No Warning, No Appeal)

The following violations result in an instant and non-reversible ban:

  • Fraud, scams, or payment manipulation (e.g., chargeback abuse, stolen payment methods).
  • Hate speech, harassment, or discrimination based on race, gender, sexual orientation, religion, or economic status.
  • Selling stolen, illegal, or malicious content, including plagiarized projects, hacking tools, or malware.
